|
For the purpose of project assessment in IPOs a number of professionals are hired which include lead managers, auditors, consultants, advisors and tax planners. When company goes public through an Initial Public Offering there are a number of issues that must be addressed to achieve successful offering. The process of IPO Planning, Structuring, Packaging and Management is a time consuming process and sometimes it takes months to prepare a company to go public. After the entire process reaches its completion there is a project assessment done by the Securities and Exchange Commission (SEC).

It is only after the IPO plan is approved by the SEC then the company executives can issue their shares in the stock exchange. SEC is a government commission who are engaged in regulating the securities markets and protecting investing public
In the entire IPO planning process the underwriter who is mostly an investment banker is the most important person. In addition to getting the company’s shares out to the right investors and setting the initial offering price for the stocks, the underwriter also helps in creating the prospectus for the company. The prospectus has to follow certain regulation to get its approval by the SEC. The underwriter also helps the IPO in determining the type of security to issue whether it should be common or preferred, and the ideal time to issue the shares in the market. It is necessary to for IPOs to undergo project assessment so that potential investors are protected against fraudulent and manipulative practices prevalent in the securities markets.
The other professional involved in planning and project assessment are auditors and lead managers. The auditors are in charge of attaining accuracy in the documentation process and correct any error or inaccuracy found in the project documents. The function of lead managers in an IPO project include drafting and designing of offer documents, statutory advertisements, prospectus and memorandum including important features of the prospectus. The lead manager is also in charge of the company’s management and operations as well as conducting business plans and taking care of legal issues.
In addition to IPO project assessment, a company has to undergo proper planning and preparation before issuing securities for the first time to the public. Right from planning, structuring and packaging to project documentation Pre-IPO funding, selecting right advisors and completion of project, the whole process has to be executed systematically for attaining the desired results.
